BEAUTE MORI AFFLIATE PROGRAM AGREEMENT
1. General
These Terms and Conditions (the "Affiliate Agreement") govern the Affiliate Program that is made available by Beaute Mori Sdn Bhd. ("Beaute Mori", "we" or "us"). These Terms and Conditions represent the whole agreement and understanding between Beaute Mori and the individual or entity who participates in the Affiliate Program (the "Affiliate", or "you").
1.1 To participate in this Affiliate Program, you are required to be registered as a member on Beaute Mori’s official website first and thereafter, upon purchasing the accumulated sum of RM188.00, you will be eligible to be upgraded to the status of “Affiliate”. Your application will be processed and you will be notified in 3 working days by email. Existing active members of Beaute Mori are eligible to become Affliate upon registration.
1.2 Successful applicants accepted as Affiliate are responsible to ensure all details submitted are accurate and up to date.
1.3 Please read this agreement careful as it represents a legally binding agreement between you and Beaute Mori. By submitting your application and by your use of the Affiliate Program, you agree to comply with all of the terms and conditions set out in this Affiliate Agreement. Beaute Mori may terminate your Affiliate Account at any time, with or without notice, for conduct that is in breach of this Affiliate Agreement, for conduct that Beaute Mori believes is harmful to its business, or for conduct where the use of the Affiliate Program is harmful to any other party.
2. Referral Tracking
2.1 Beaute Mori will provide the Affiliate with specific Referral Links to link advertisements and other marketing content to Beaute Mori. Beaute Mori will track users who have visited these Referral Links.
2.2 Only users who make a purchase while the cookie is active will be considered referrals of the Affiliate and the commission fee earned will be recorded in the Affiliate Wallet.
2.3 The Affiliate is not authorized to modify or alter the Referral Links or the cookies in any way.
2.4 Beaute Mori is not responsible for any tracking or reporting errors that may result from any modifications to the Referral Link or the cookies.
3. Affiliate Fees and Payouts
3.1 The Affiliate will become eligible for commission payout for purchases made through their referral links by the 10th day of the next calendar month if it meets all of these criteria:
i. The referral makes a valid purchase of Beaute Mori products online and has paid in full.
ii. The referral's account remains active and in good standing.
iii. The Affiliate’s Wallet has at least RM50.00 balance at the end of the calendar month in which commissions are calculated.
iv. The referral's account has not had any of its payments refunded, charged back or otherwise reversed.
v. In the event the referral requests for a refund for a transaction which the Affiliate has earned commission fee, any commission earned on the refunded sum will be deducted from the Affiliate’s Wallet. Failure to meet any of these criteria will permanently void the referral and disqualify the referral from any potential payouts to the Affliliate.
3.2 All Affiliate commission fee payments will be payable in Malaysian Ringgit only, except as otherwise determined by Beaute Mori in its sole discretion.
3.3 Payment will be made by way of transfer from Affiliate’s Wallet to the Affiliate’s registered bank account. The Affiliate is responsible for providing Beaute Mori with the full and accurate bank details that are required to remit the Affiliate commission fees, and is solely responsible for any delays in payment resulting from its failure to do so.
3.4 In the event of any activity deemed suspicious by Beaute Mori, Beaute Mori may delay the payment of Affiliate commission fees by up to 6 calendar months to verify the relevant transactions.
3.5 Beaute Mori reserves the right to recalculate, void, or disqualify any referrals or Affiliate commission fees in the event of any fraudulent, deceptive or otherwise illegal activity.
3.6 Referrals for purchases made through Beaute Mori promotional or special offers are not eligible for payout to the Affiliate unless Beaute Mori expressedly states otherwise.
4. Advertisements
4.1 Beaute Mori hereby grants the Affiliate a non-exclusive, non-transferable, limited license to use the Beaute Mori logos for the sole purpose of promoting our service within the context of the Affiliate Program.
4.2 This license will expire upon termination of the Affiliate's participation in the Affiliate Program.
4.3 The Affiliate may only display advertisements that contain Beaute Mori's logos or service marks in good taste.
4.4 The Affiliate may not use Beaute Mori's logos or service marks in a manner that, in Beaute Mori's sole discretion, portrays Beaute Mori in negative light.
4.5 The Affiliate will be solely responsible for its own marketing activities. All marketing activities must be professional and in full compliance with all applicable laws.
4.6 Beaute Mori may, without prior notice, require the Affiliate to remove or modify any advertisements in Beaute Mori's sole discretion.
5. Termination
5.1 Either party may terminate the Affiliate's participation in the Affiliate Program with immediate effect by giving the other party a written notice of termination.
5.2 Beaute Mori has the right to terminate this Agreement in the event:-
5.2.1 the Affiliate fails to achieve at least RM50.00 in commission fees or fails to make any purchase of Beaute Mori products in any month for 6 consecutive months; or
5.2.2 The Affiliate discloses their User ID and password and/or allows to third party(ies) to operate their Affiliate account and Wallet which are strictly non-transferable; or
5.2.3 for conduct that is in material breach of this Affiliate Agreement or for conduct that Beaute Mori, in its sole discretion, deems to be harmful to its business or any third party.
5.3 Upon termination, the Affiliate will lose access to its Affiliate Wallet and will forfeit all potential or unpaid Affiliate commission fees.
6. Relationship of Parties
Beaute Mori and the Affiliate are independent contractors. Nothing in this Affiliate Agreement will create any partnership, employment, representative, agency, or joint venture relationship between the parties. The Affiliate has no authority to act on Beaute Mori's behalf.
7. Limitation of Liability
7.1 The Affiliate Program is provided on an "as is" and "as available" basis and the use of the Affiliate Program is at the Affiliate's own risk. Beaute Mori makes no representations or warranties, either expressed or implied, with respect to the Affiliate Program, or any service or information provided through the Affiliate Program.
7.2 Beaute Mori is not responsible for any damages, injury or economic loss arising from the use of Affiliate Program. Should any part of the Affiliate Program cause damage or inconvenience to the Affiliate or anyone claiming through the Affiliate, the Affiliate assumes responsibility and the entire cost for them.
7.3 The Affiliate will indemnify and hold harmless Beaute Mori, its directors, officers, employees, agents, subsidiaries, and third parties from and against any losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to the Affiliate's or any third party's operations or use of the Affiliate Program.
8. Modification
8.1 Beaute Mori may, in its sole discretion, change or modify this Affiliate Agreement at any time, with or without notice. Such changes or modifications shall be made effective for all Affiliates upon posting of the modified Affiliate Agreement to this web address: http://www.beautemori.com. The Affiliate is responsible for reading this document from time to time to ensure that its use of the Affiliate Program remains in compliance with this Affiliate Agreement.
8.2 If any modification is unacceptable to the Affiliate, its sole recourse shall be to terminate this Affiliate Agreement. The Affiliate's continued participation in the Affiliate Program will constitute binding acceptance of such modifications.
9. Miscellaneous
9.1 The Affiliate warrants and represents that it is over the age of 18 and is qualified to enter into this Affiliate Agreement.
9.2 The Affiliate warrants and represents that its actions and its participation in the Affiliate Program is in compliance with all applicable laws, rules, regulations, and any requirements of governmental authority at all times.
9.3 Beaute Mori reserves the right to terminate the Affiliate's participation in the Affiliate Program if Beaute Mori determines, in its sole discretion, that the Affiliate's actions or its participation in the Affiliate Program is in violation of any laws, rules, regulations, or any requirements of governmental authority.
9.4 This Affiliate Agreement constitutes the entire understanding between Beaute Mori and the Affiliate. This Affiliate Agreement supersedes any other contracts or understandings between the parties hereto and neither party shall be bound by any statements or representations that are not embodied in this Agreement.
9.5 Any dispute arising in relation to this Affiliate Agreement shall be exclusively resolved in the Courts of Malaysia.
